    The Kubota Group seeks to win customer satisfaction and confidence by working to ensure product safety and offering products, technologies, and services that meet customer needs.

  2. Conducting Corporate Activities Based on Compliance with Legal Regulations and Ethical Principles

    The Kubota Group conducts its corporate activities while observing the letter and spirit of legal regulations applicable to its business operations, in accordance with social ethical principles and good conscience.

  3. Respecting Human Rights

    The Kubota Group bases its activities on the Universal Declaration of Human Rights, respects human rights, and does not violate human rights. Moreover, the Group respects the privacy of individuals and works to protect personal information.

  4. Creating a Safe and Vibrant Work Environment

    The Kubota Group maintains a safe and healthy working environment and works to improve workplace conditions. In addition, the Group respects the diversity and creativity of its employees and promotes a vibrant work environment.

    The Kubota Group aims to create a society where sustainable development is possible on a global scale and conducts its operations with concern for preserving the natural environment.

Code of Conduct

  1. Winning Customer Satisfaction
    (1) Customer Satisfaction
    We seek to win the satisfaction of customers by accurately grasping their needs, developing and offering products, technologies, and services that are safe and appealing.
    (2) Product Safety and Superior Quality
    We strive to offer products, technologies, and services that are safe and of superior quality. To attain this goal, we, as a matter of course, meet legal specifications and criteria. Moreover––in each of our processes from development to manufacturing, sales, and service––the departments responsible take the responsibility of ensuring safety and building quality into our products and services. In addition, if we find that safety issues may arise, each related department reports on these quickly and accurately and then works on these issues in advance.
    (3) Responding to Customer Requests and Complaints
    We put ourselves in the position of our customers when we receive requests or complaints from them and, then we respond quickly and accurately. Moreover, we work to improve quality to avoid customer dissatisfaction before it becomes manifest, and we make appropriate disclosure of necessary information regarding serious quality problems.
    (4) Appropriate Advertising, Labeling, and Customer Premiums
    We inform our customers properly about the features and other aspects of our products. In advertising and labeling products, we avoid expressions and labels that may create misunderstandings about product performance, quality, and price. In addition, we do not give our customers premiums, which are legally prohibited.
  2. Conducting Corporate Activities Based on Compliance with Legal Regulations and Ethical Principles
    (1) Legal Compliance and Observance of Corporate Ethics Are Basic Conditions for Corporate Activities
    We are aware that strict compliance with laws and corporate ethics is a basic rule for conducting business activities, and, in all aspects of corporate activities, we act in accordance with laws and corporate ethical principles as well as carry out operations honestly and in good faith.
    (2) Responsibility for Legal Compliance
    We report concerns that arise regarding possible violations of laws and corporate ethics to supervisory personnel or contact and seek advice through in-house reporting channels. Moreover, we take special care to protect the privacy of employees reporting these matters to ensure that they will not be retaliated against.
    (3) Observance of the Anti-Monopoly Law and Other Regulations
    We respect fair and free competition. We comply with the provisions of Anti-Monopoly Law and other related laws and do not engage in unfair transaction practices.
    (4) Fairness and Transparency in Transactions
    We build fair and transparent relationships with our many business partners based on open transaction practices. Moreover, we do not take advantage of our position as buyers to request unethical financial compensation or special treatment from our suppliers.
    (5) Compliance with Internal Rules
    We comply with all internal Company rules, including the Charter for Action, this Code of Conduct, and the Rules of Employment based on a good understanding of the spirit of the Kubota Group's Corporate Mission Statement and Management Principles, and carry out our activities honestly and in good faith.
    (6) Prohibition of Activities Contrary to the Interest of the Company
    We do not use our positions as management or staff to engage in actions to make gains from activities that are against the proper interests of the Company.
    (7) Preservation of Company Asset
    We do not use Company assets––including land, buildings, machinery and equipment, office supplies, etc.––for our personal interest. Also, we do not make use of internal information systems, including software, for other than business purposes.
    (8) Respect for and Usage of Intellectual Property
    1. We have respect for the intellectual property rights of others––including patents, utility model rights, trademarks, design rights, copyrights, and know-how––and do not use them improperly.
    2. We appropriately manage and preserve our own intellectual property rights and do not allow third parties to use them improperly, while also using these rights to contribute to the sustainable development of the Group.
    (9) Management of Confidential Information
    We manage confidential information, including information pertaining to business operations, technologies, management, and other matters properly in accordance with laws and internal Company regulations. Even after termination, we do not disclose confidential information we have gained during our employment of staff without permission from the Company. Moreover, when we gather information, we obtain it through the proper methods from persons who have the appropriate authority to disclose it.
    (10) Security of Electronic Information
    We adopt thoroughgoing information security measures and take sufficient precautions to prevent the leakage of electronic information, theft of information by others, and falsification.
  3. Respecting Human Rights
    (1) Creating a Company that Respects Human Rights
    We, as good corporate citizens, aim to create a company that respects human rights. We do not discriminate or make violations of human rights on the basis of nationality, age, gender, or for any other reason whatsoever, and do not permit forced labor or child labor. In addition, we respect the human rights and privacy of all people, both in the Company and outside.
    (2) Prohibition of Sexual Harassment and Similar Issues
    We do not allow infringements of human rights, including sexual harassment, power harassment, or mistreatment. We regard one another as important partners and seek to build rich and rewarding personal relationships.
    (3) Protection of Personal Information
    We are aware of the importance of personal information related to our customers, management, employees, and others. We comply with relevant laws and the Company's Personal Information Protection Policy as well as other internal regulations and work to prevent the loss, leakage, or other misuse of personal information.
  4. Creating a Safe and Vibrant Work Environment
    (1) Thoroughgoing Supervision of Safety, Sanitation, and Health
    We engage in initiatives to ensure the safety of equipment and work methods and to eliminate dangerous or harmful factors from the workplace, with the goals of promoting the safety and health of workers. In addition, we conduct working activities in a safe manner by observing legal regulations and internal rules in each of the places where we work. In particular, the management of the Company takes safety, sanitation, and health as its own responsibility, and works to make safety, sanitation, and health the basis for the conduct of its operations, while endeavoring to make improvements in machinery and equipment as well as create a pleasant working environment.
    (2) Creation of a Vibrant Work Environment
    We work to create a bright and vibrant workplace. Moreover, while paying close attention to teamwork, we respect the diversity and creativity of our employees, while accepting the challenge of coping with constant change.
  5. Preserving the Global and Local Natural Environments
    (1) Contributing to Preservation of the Environment
    We endeavor to engage in environment-friendly actions and prevent environmental pollution at all levels of our operations by observing and following environmental regulations and setting specific goals on our own initiative. In particular, we conduct our activities while paying full attention to preserving the natural environment in the vicinity of communities where our offices and plants are located and avoid causing any inconvenience to local communities and their residents. Moreover, we work to disclose information about our efforts to preserve the natural environment.
    (2) Offering Environment-Friendly Technologies and Products
    We work to develop innovative technologies and products and offer them to society, with the objective of resolving environmental issues.
  6. Achieving Symbiosis with International and Local Societies
    (1) Observance of Laws of Individual Countries and Regions as well as International Rules
    We comply with the laws and respect the culture and customs of all countries and regions. In addition, in international transactions, we comply with treaties, agreements, and other international rules.
    (2) Compliance with Export and Import Laws and Regulations
    We observe the provisions of Foreign Exchange and Foreign Trade Law and all related laws and regulations in exporting and importing goods, technologies, etc., with the aim of supporting international peace and safety.
    (3) Eschewing Antisocial Elements
    We take a strong stance against antisocial elements and groups that threaten the order and safety of society and cooperate with the police and other organizations to sever relationships such elements and groups. We never respond to improper requests made by these antisocial elements.
    (4) Proper Relationships with Political Groups and Government Organizations
    We comply with all relevant laws and regulations and do not engage in such activities as giving illegal political contributions or offering bribes. When we make political contributions and gifts, we observe legal regulations and the Company's internal rules.
    (5) Rules for Entertainment and Gifts
    1. For Government Organizations

      We do not entertain or offer gifts to public servants or others who have a vested interest in our activities. Even when there are no vested interests at issue, we do not exceed the limits for entertainment and gifts that are commonly accepted in society.

    2. For Private Companies and Others

      We do no exceed the limits for offering entertainment and gifts to our business associates that are commonly accepted in society.

    3. Entertainment and Gifts Received

      We do not accept offers for entertainment or gifts from our business associates and others that exceed the limits that are commonly accepted in society.

    (6) Contributing to Society
    We proactively offer support for social, educational, and cultural activities, communicate and associate with local communities, participate in beautification projects, and engage in other various volunteer activities.
    (7) Driving Safely
    We obey traffic laws and regulations and drive safely.
  7. Fulfilling Responsibilities for Improving Management Transparency and Accountability
    (1) Appropriate and Timely Disclosure of Corporate Information
    We properly disclose information, in accordance with related legal provisions, on the management of the Company, its business operations, and other matters on a timely basis and according to appropriate methods.
    (2) Proper Accounting Treatment
    We properly follow all relevant laws, accounting criteria, and internal regulations in accounting for sales, expenses, and other financial statement items.
    (3) Emphasis on Internal Audits
    We place emphasis on internal auditing, including audits related to financial reporting and business activities, with the goal of enhancing the quality of our operations.
    (4) Prohibition of Insider Trading
    We do not engage in trading the shares of the Company or its associated companies based on material, non-public information that might give rise to suspicions regarding "insider trading." This includes information related to increases or reductions in capital, mergers and acquisitions, or alliances. Moreover, we do not divulge such material, non-public information to third parties, including even members of our families.
